Current BIA Constitution & Proposed Draft BIA Constitution

BIA Constitution Dear Business Owner:

As part of the ZOOM AGM presentation, we will be voting to adopt the updated BIA Constitution. Petra Graber, Owner of The Good Food Company and Mark Lovell, Owner of 107 Bridge Street, have worked on this project, with hours of research and collaboration with the Town Clerk, Stacey Blair. Thank you to Petra, Mark and Stacey for their tremendous work.  

For those who are new to the BIA, a constitution, in this case, is a set of policies that guide the Board of Directors and BIA Staff. A constitution can also help provide legitimacy to the BIA and greater consistency and certainty in its operations.
In some cases, municipalities help BIAs by developing a model constitution that can be used by BIA’s within the municipality to develop policies, bylaws that meets their specific needs. In our updated Constitution, we looked at the items below and made sure they aligned with our current BIA focus and would assist us in our bright future. Some of the items we have updated and considered are below:

– membership
– composition and activities of the board of management, committees and subcommittees
– general membership meetings
– board, committee and subcommittee meetings
– annual budgets
– general expenditures
– rules of order
– conflict of interest guidelines
– contracts
– voting and proxy voting
– elections
-adoption of policies, bylaws and constitution
