Please join us for an evening of business networking and celebration of our 2017 accomplishments, as well as, a short presentation of what is to come for 2018. The cost to attend is $30.00/person. Payment can be cash or Cheque and can be made out to Downtown Carleton Place. An official invitation will follow.

Menu

First Course – Vine ripened tomato bisque with cognac and basil oil.
Main Course – Crispy confit of free range chicken, roasted fingerling potatoes, acorn creek market vegetables, sun-dried cherry gastrique. Gluten-free and vegetarian options are available.
Dessert – Vanilla bourbon creme brûlée.

*Attention: This year the Board would like to propose Proxy Voting. This will be voted on at the Annual General Meeting. Below is the motion:

As a board, we would like to change our existing by-law to allow proxy voting. The current nominee section of the Municipal Act 204 (7) reads as follows.

Nominee
(7) A corporate member of an improvement area may nominate in writing one individual to vote on behalf of the corporation. 2001, c. 25, s. 204 (7).
*This clause applies to only incorporated companies.

Proposed change for proxy voting:

Motion:
A voting member of the Downtown Carleton Place business improvement area may nominate in writing one individual to vote on behalf of that member.

Notable Implications

A) The “One Vote” clause 204 (6) must remain upheld.
• A member can only designate one (1) nominee regardless of the number of properties that the member may own or lease in the improvement area.
• If a member designates a nominee, the member themselves must not participate in the vote.

B) If the member does not attend a meeting and no nominee is designated for that member, this constitutes a vote in the affirmative in approving the actions of the Board.

C) This clause applies to all general meetings of the Membership and Board Member appointments.

D) All proxies must be received to the Downtown Carleton Place BIA office in writing 10 business days in advance of a general meeting (form will be provided by the BIA, upon request).
